Terms of Service

1. Agreement to Terms

By accessing or using the 247 HelpDesk platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

247 HelpDesk provides IT support services including ticket-based help desk, AI-powered triage, remote desktop support, automation tools, knowledge base access, and optional one-on-one coaching sessions (Academy). Services are delivered through our web platform at 247helpdesk.co.

3. Account Registration

  • You must provide accurate and complete registration information.
  • You are responsible for maintaining the security of your account credentials.
  • You must notify us immediately of any unauthorized access to your account.
  • One person or legal entity per account. Sharing accounts is not permitted.
  • You must be at least 18 years old to create an account.

4. Subscription Plans & Pricing

We offer the following subscription tiers:

  • Home Basic: $29/month or $290/year
  • Home Premium: $59/month or $590/year
  • Home Family: $79/month or $790/year (up to 5 users)
  • Business Starter: $299/month or $2,990/year (up to 25 users)
  • Business Growth: $799/month or $7,990/year (up to 100 users)
  • Business Enterprise: $2,500+/month (unlimited users, custom annual pricing available)

Prices are in USD. Monthly plans are billed on a recurring monthly basis. Annual plans are billed as a single upfront payment for 12 months and provide a ~17% discount (equivalent to 2 months free). We reserve the right to change pricing with 30 days written notice. Existing subscribers will be honored at their current rate for a minimum of 60 days after notice.

5. Payment Terms

  • All payments are processed securely by Stripe.
  • Subscriptions automatically renew each billing cycle unless cancelled.
  • Failed payments will be retried up to 3 times. After 3 failures, your account may be suspended.
  • No refunds for partial months. You may cancel at any time and retain access through the end of your current billing period.
  • Academy sessions (30-min $29, 60-min $49) are non-refundable once the session has started.

6. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose
  • Attempt to gain unauthorized access to other accounts or systems
  • Upload malware, viruses, or malicious code
  • Abuse the support system (e.g., submitting excessive fraudulent tickets)
  • Resell or redistribute the Service without written authorization
  • Use automated tools to scrape or extract data from the platform
  • Circumvent rate limits, security measures, or access controls

7. Service Level

We strive for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance windows will be communicated 48 hours in advance. Response times vary by plan:

  • Critical: 15–60 minutes (by plan tier)
  • High: 1–4 hours
  • Medium: 4–24 hours
  • Low: 1–3 business days

8. AI-Powered Features

Our Service uses artificial intelligence for ticket triage, issue classification, and suggested solutions. AI outputs are provided as assistance and are not a substitute for professional judgment. All AI-generated recommendations are subject to human review by our support team.

9. Remote Access

When you request remote support, you grant our authorized agents temporary access to your device. You must be present during the session and may terminate it at any time. We will not access your device without your explicit consent.

10. Intellectual Property

  • The 247 HelpDesk brand, platform, and original content are our property.
  • Custom automation scripts created for your account are licensed to you for internal use only.
  • You retain ownership of all data you submit (tickets, files, messages).

11. Limitation of Liability

To the maximum extent permitted by law, 247 HelpDesk shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability for any claim shall not exceed the fees paid by you in the 12 months preceding the claim.

12. Termination

  • You may cancel your subscription at any time through your billing settings.
  • We may suspend or terminate your account for violation of these Terms with notice where practicable.
  • Upon termination, you may request a data export within 30 days. After 30 days, your data will be permanently deleted.

13. Dispute Resolution & Class Action Waiver

Any disputes arising from these Terms shall be resolved through binding arbitration under the rules of the American Arbitration Association, conducted in Wilmington, Delaware. Small claims court actions are exempt from this requirement.

Class Action Waiver: You agree to resolve disputes with us on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration against 247 HelpDesk, Inc.

14. Indemnification

You agree to indemnify, defend, and hold harmless 247 HelpDesk, Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content or data you submit through the Service.

15. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from force majeure events including but not limited to: natural disasters, acts of war or terrorism, pandemics, government orders, Internet or infrastructure failures, power outages, or third-party service provider outages. The affected party shall make reasonable efforts to mitigate the impact and resume performance as soon as practicable.

16. Data Portability

You may request a machine-readable export of your data (tickets, messages, account information, and billing history) at any time from your portal settings or by contacting support. Exports are provided in JSON or CSV format within 30 days of request. See our Privacy Policy for full details on data subject rights.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal proceedings not subject to arbitration shall be brought exclusively in the federal or state courts located in Wilmington, Delaware.

18. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email at least 30 days in advance. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
